PRIVATE DISTRIBUTION / OPERATING TERMS
Terms of Service
Effective September 16, 2026 · Version 2.0
These Terms of Service govern access to the 4TAKEOVER artist portal and any release submitted for review, distribution, royalty accounting, or label consideration.
1. Acceptance, eligibility, and authority
By creating an account or using the portal, you agree to these terms and the Privacy Policy. You must provide accurate information, protect your credentials, and have authority to submit music and instructions. If you are under the legal age of majority where you live, a parent or legal guardian must provide any required consent and handle payout or contract actions that you cannot legally complete. Payment and payout providers may impose additional eligibility rules.
2. Accounts and security
One person or authorized business may maintain an account for its own legitimate distribution activity. You are responsible for activity performed through your credentials and must notify Support promptly of unauthorized access. You may not sell accounts, impersonate another person, bypass access controls, scrape restricted data, or interfere with the portal.
3. Private access and deal terms
4TAKEOVER is a private distributor. Creating an account does not grant distribution access. Access requires an approved email whitelist entry or approval of the required artist forms. We may approve or decline a request after review; declined applicant accounts lose portal access. Existing approved accounts retain access.
There are no public paid distribution plans. Royalties and other release economics are determined by the applicable deal. Removing subscriptions or changing account access does not replace existing signed agreements or alter previously agreed release economics.
“Net Receipts” means money actually received by 4TAKEOVER after distributor or store shares, payment fees, refunds, chargebacks, taxes, tariffs, currency conversion, required withholding, and similar third-party deductions. Account access does not guarantee acceptance, release, streams, placement, or earnings.
4. Ownership and distribution permission
You keep ownership of your content except for rights expressly granted in a separate signed agreement. For each submission, you grant 4TAKEOVER and its distribution partners a non-exclusive, worldwide permission during the distribution relationship to host, copy, encode, review, deliver, display, make available, monetize, report on, promote, and administer the release as reasonably required to provide the requested service. This permission may continue for a reasonable wind-down period after a takedown so stores, reports, and payments can be reconciled.
5. Your rights and metadata promises
You represent that you own or control every right needed for each master, composition, performance, name, likeness, image, sample, beat, interpolation, stock asset, and other submitted material. You must disclose collaborators and AI-generated or synthetic elements, obtain required permissions, and provide accurate credits, links, release history, advisory labels, and other metadata. Cover songs may require licenses beyond a Spotify link; submitting the link does not replace your licensing obligations.
6. Store selection, review, and delivery
You may request all, none, or selected available stores for a release. Selecting a service is an instruction to attempt delivery, not a guarantee that the service will accept, publish, keep, or monetize the release. Store availability may change, and a distribution partner or service may apply territory, genre, rights, format, timing, or policy restrictions. Selecting no stores permits portal review but requests no consumer-store delivery.
Every submission may receive manual rights and metadata review. 4TAKEOVER may request changes, reject or delay delivery, correct technical metadata, or request a takedown when reasonably necessary for rights, fraud, safety, policy, quality, metadata, legal, or partner requirements. Release dates close to submission may not be met.
7. Content ID and platform matching
Content ID or social-platform matching is available only for material that qualifies under the relevant platform's rules. You must not request matching for non-exclusive beats, unlicensed content, public domain recordings you do not control, or material that could create conflicting claims. Platforms control final eligibility and claims.
8. Prohibited activity
You may not submit infringing, unlawful, fraudulent, deceptive, defamatory, or impersonating content; falsify ownership, identity, tax, payment, or performance information; upload malware; exploit the service; or buy, direct, automate, or encourage artificial streams, views, followers, saves, or engagement. Suspected misconduct may cause review holds, reserves, rejected payouts, takedowns, account limits, termination, or reporting to affected providers and authorities.
9. Royalties, statements, and payouts
Statements depend on reports and funds actually received from the distribution chain and may be delayed, corrected, reversed, or restated. Payouts require an eligible verified destination and may be affected by provider minimums, reserves, disputes, refunds, suspected fraud, sanctions screening, tax forms, withholding, and processing time. You are responsible for accurate payout and tax information and for taxes owed on your earnings.
10. Label submissions
“Submit to Label,” an A&R review, or an approval notice does not by itself create a label deal. Song-specific economics, rights, term, and obligations apply only after the required parties accept a versioned written agreement. A signed song agreement controls if it directly conflicts with these general terms for that song. You are encouraged to obtain independent legal, tax, and business advice before signing.
11. Support and electronic communications
Support tickets are part of the account record. You agree to receive operational notices, review decisions, billing notices, agreements, and support replies through the portal or your account email. Keep the email address current. Support messages do not amend a signed agreement unless an authorized written amendment clearly says so.
12. Suspension, termination, and takedown
You may stop using the service or request eligible takedowns. We may restrict or terminate access for material breach, nonpayment, fraud, rights risk, security threats, repeated partner rejections, or legal requirements. Termination does not erase accrued payment, accounting, dispute, license wind-down, or record-retention obligations. Store removals can take time outside 4TAKEOVER's control.
13. Disclaimers and responsibility
The portal and distribution service are provided on an “as available” basis to the extent permitted by law. 4TAKEOVER does not promise uninterrupted access, a particular release date, acceptance by any service, preservation of every draft, playlist placement, audience growth, or a level of revenue. You agree to be responsible for third-party claims and reasonable costs caused by content or instructions that breach your promises in these terms, except to the extent caused by 4TAKEOVER's own unlawful conduct.
14. Limits of liability
To the fullest extent permitted by applicable law, 4TAKEOVER will not be liable for indirect, incidental, special, punitive, or consequential losses, or for store or provider actions outside its reasonable control. Nothing in these terms excludes liability that cannot legally be excluded, and mandatory consumer protections remain in effect.
15. Changes, governing law, and complete terms
Material plan and agreement changes are recorded with effective dates and do not silently rewrite posted royalty entries or accepted song-specific agreements. We may update these general terms for future use of the service and will identify the current version above. Pennsylvania law governs these terms without overriding mandatory law that applies where you live. These terms, the Privacy Policy, and any applicable signed agreement are the complete terms for the covered service. If one provision cannot be enforced, the remaining provisions continue to apply.
